Agreement to these terms
These Terms & Conditions govern your access to and use of Udhari. By creating an account or using the service, you agree to these terms and the Privacy Policy. If you do not agree, do not use the service.
Eligibility and account registration
You must be legally able to enter into this agreement and provide accurate, current information. If you use Udhari for a business or organisation, you confirm that you have authority to accept these terms on its behalf.
Account security
You are responsible for safeguarding your password, OTPs, and devices, and for activity performed through your account. Notify us promptly if you suspect unauthorised access. You must not share credentials in a way that compromises the service or another person’s information.
What Udhari provides
Udhari provides digital tools for recording and reviewing customer and business connections, products or services, transactions, receivables, payables, and payment confirmations. Unless expressly stated otherwise, Udhari is a record-keeping service and is not a bank, lender, credit bureau, debt collector, escrow service, or payment guarantee.
Your records and responsibilities
You are responsible for the accuracy, legality, and completeness of information you enter. A record in Udhari does not by itself prove that a debt is legally valid, replace an invoice or tax document, or guarantee payment. You should review entries and resolve disagreements directly with the connected person or business.
Connections and payment confirmations
Connection requests and shared transaction records may make relevant account information visible to the parties involved. Only connect with accounts you recognise. Confirm a payment only after you have verified it through an appropriate method, because confirmation can change the displayed balance and history.
Plans, fees, and changes
Some features may be offered through free or paid plans. The plan name, price, billing period, included features, and applicable taxes will be shown before purchase. We may change plans or pricing prospectively with reasonable notice where required. Except where law or an offer states otherwise, fees already paid are not refundable.
Acceptable use
You must use Udhari lawfully and respect the rights and privacy of others.
- Do not enter information you are not authorised to collect, use, or share.
- Do not use the service for fraud, harassment, unlawful lending or collection, spam, or deceptive activity.
- Do not probe, disrupt, overload, reverse engineer, or bypass security or access controls except where law expressly permits.
- Do not upload malware or content that is illegal, infringing, abusive, or harmful.
Content and intellectual property
You retain your rights in content you submit. You give Udhari the limited permission needed to host, process, display, back up, and transmit that content to operate and improve the service. Udhari and its licensors retain rights in the service, software, branding, design, and documentation.
Availability and changes to the service
We aim to provide a reliable service, but Udhari may occasionally be unavailable because of maintenance, security events, network failures, or circumstances beyond our control. We may add, change, suspend, or discontinue features while taking reasonable steps to avoid unnecessary disruption.
Suspension and termination
You may stop using Udhari at any time. We may limit, suspend, or terminate access if you breach these terms, create risk or harm, fail to pay applicable fees, or if action is needed for legal or security reasons. Where practical and permitted, we will provide notice and an opportunity to address the issue.
Disclaimers
To the extent permitted by law, Udhari is provided on an “as is” and “as available” basis. We do not guarantee that every record is accurate, that another user will pay an amount shown, or that the service will always be uninterrupted or error-free. Nothing in Udhari is legal, tax, accounting, lending, or financial advice.
Limitation of liability
To the extent permitted by applicable law, Udhari will not be liable for indirect, incidental, special, consequential, or punitive loss, or for loss of profits, revenue, data, goodwill, or business opportunity arising from use of the service. Rights or remedies that cannot legally be limited remain unaffected.
Changes and contact
We may update these terms to reflect changes to Udhari or applicable requirements. We will post the updated terms here and revise the date above. Continued use after an update takes effect means you accept the revised terms where permitted by law. Contact us below if you have questions.
